STANDARD TERMS AND CONDITIONS OF SALE

1. Definitions

  • “Seller” refers to Arkco Supply, the electrical distributor.
  • “Buyer” refers to the purchaser of products from the Seller.
  • “Products” refers to all goods supplied by the Seller.

2. Acceptance of Orders

  • All orders are subject to acceptance by the Seller.
  • Quotations and price lists do not constitute binding offers.
  • Seller reserves the right to cancel or refuse orders in whole or in part if there are errors, stock shortages, or suspected fraudulent activity.
  • By placing an order, whether online, by phone, email, or in person, Buyer agrees to be bound by these Terms and Conditions of Sale.
  • Product images and descriptions on this Website are provided for reference only; actual Products may vary slightly from images shown.

3. Prices

  • All prices are in Canadian Dollars (CAD) unless otherwise stated.
  • Prices exclude sales taxes, duties, tariffs, and shipping unless explicitly included.
  • Applicable sales taxes (including HST/GST) will be added at checkout or invoicing unless Buyer provides a valid tax-exemption certificate.
  • Prices are subject to change without prior notice until order acceptance.

4. Payment Terms

  • Credit terms are only available to Buyers with an approved credit application on file.
  • Standard approved account terms: Net 30 days from the invoice date, unless otherwise agreed in writing.
  • All other orders are processed on a prepaid basis (credit card, EFT, or other approved payment method).
  • Overdue accounts are subject to interest charges of 2% per month (24% per annum).
  • Seller may suspend or cancel shipments if a Buyer’s account is overdue.
  • Buyer agrees to contact Seller directly to resolve any billing dispute before initiating a chargeback with their card issuer or financial institution. Chargebacks initiated without first contacting Seller may result in suspension of Buyer's account pending resolution.

5. Delivery & Risk of Loss

  • Delivery dates are estimates only and not guaranteed. Seller is not liable for delays, loss, or damage caused by the courier, strikes, weather, or other events beyond its control once Products are delivered to the carrier. Any claim for courier-caused delay or damage must be filed directly with the courier; Seller will provide reasonable documentation to assist such a claim but assumes no liability for it.
  • Risk of loss or damage transfers to Buyer once Products are delivered to the carrier or picked up by Buyer.
  • Buyer must inspect all shipments upon receipt and report damages or shortages within 24 hours.
  • Claims for shipping damage or shortages must include photographs of the damaged Product(s) and packaging submitted with the claim.

6. Shipping & Pickup

  • Buyer may specify a preferred carrier; otherwise Seller will ship using its standard carrier.
  • Freight charges are Buyer’s responsibility unless otherwise specified.
  • Products may also be picked up at Seller’s designated warehouse locations.
  • Large or oversized items (such as conduit, threaded rod, LED profiles, strut, and similar products) cannot be shipped by courier due to carrier size restrictions. These items are available for warehouse pickup or freight delivery, which may be arranged at an additional cost.
  • All orders ship from Seller’s Ontario warehouse(s). Estimated transit times vary by destination and are provided for planning purposes only — they are not guaranteed. See the table below for general estimated ranges by region.
  • Orders containing items that are not currently in stock may be split into multiple shipments, with backordered items shipped as they become available, unless Buyer requests the order be held for a single shipment.
  • If a backordered item remains unavailable for more than 30 days, Buyer may cancel that portion of the order for a full refund of amounts paid for that item, unless otherwise agreed in writing.

The table below shows general estimated transit-time ranges by destination region, based on standard ground shipping from our Ontario warehouse. These are estimates for planning purposes only and are not guaranteed delivery times.

7. Cancellations & Returns

  • Orders may only be cancelled prior to shipment. Once shipped, standard return policy applies.
  • Returns require Seller’s written authorization (RMA number) within 30 days of receiving product. Unauthorized returns may be refused.
  • A standard 20% restocking fee applies to returns of stock items.
  • Vendor restocking fees (when higher or in addition to Seller’s) will also be charged and passed on to Buyer.
  • Special-order, non-stock, or custom Products are non-returnable unless defective.
  • Wire and cable products are non-returnable and non-refundable.
  • Returned Products must be unused, uninstalled, and in original packaging with all documentation. Seller may refuse or further discount the credit for returns that do not meet this condition.

8. Warranty

  • Seller warrants only that Products conform to manufacturer specifications at time of shipment.
  • All manufacturer warranties are passed through to Buyer.
  • Seller disclaims all other warranties, expressed or implied, including merchantability or fitness for a particular purpose.
  • Seller's warranty and liability do not extend to labor, installation, or removal costs, or to any costs incurred in diagnosing, accessing, or replacing a Product.
  • Buyer is responsible for confirming that any Product is suitable for its intended application and complies with applicable codes (including CSA and Electrical Safety Authority requirements) and local regulations. Seller is not liable for improper application, installation, or use of any Product.

9. Limitation of Liability

  • Seller’s maximum liability is limited to replacement of defective Products or refund of purchase price, at Seller’s discretion.
  • Seller is not liable for indirect, incidental, or consequential damages including lost profits or business interruption.

10. Title & Security Interest

  • Title to Products passes to Buyer upon full payment.
  • Seller retains a purchase money security interest until payment is received in full.

11. Governing Law

  • These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada.
  • All disputes shall be resolved in the courts of Toronto, Ontario.

12. Intellectual Property & Trademarks

  • All product names, logos, brands, trademarks, and registered trademarks displayed on this Website are the property of their respective owners.
  • Arkco Supply Inc. operates as an authorized distributor of certain manufacturers and may use product images, brand names, and logos for the purpose of identifying and marketing those products. Such use does not imply ownership of any intellectual property rights belonging to the respective manufacturers.
  • All manufacturer trademarks and copyrighted materials remain the property of their respective owners.
  • If you believe any content on this Website infringes upon your intellectual property rights, please contact us at [info@arkco.ca], and we will promptly review and address the matter.

13. Entire Agreement

These Terms and Conditions, together with any written agreement signed by both parties, form the entire agreement between Buyer and Seller. Oral statements or representations are not binding unless confirmed in writing by Seller.

14. Changes to These Terms

Seller may update or modify these Terms and Conditions of Sale at any time without prior notice. The version posted on this website at the time an order is placed governs that order. Continued use of this website after changes are posted constitutes acceptance of the revised Terms.

15. Force Majeure

Seller is not liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to fire, flood, labour disputes, supply shortages, acts of government, or other circumstances beyond Seller's control.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Waiver

Seller's failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or of Seller's right to enforce it at a later time.

18. Assignment

Buyer may not assign or transfer an order or these Terms without Seller's prior written consent. Seller may assign these Terms without restriction.
